Welcome to Codelogix Technologies Pvt. Ltd. (“Codelogix”, “we”, “our”, or “us”). By using our website, services, or products, you (“Client”, “you”, or “your”) agree to the following Terms of Service (“Terms”).
1. Services
Codelogix provides services including web application development, mobile app development, custom software solutions, IT consulting, cloud services, AI and data analytics. All services are provided as per the specifications agreed in proposals or contracts.
2. Acceptance of Terms
By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.
3. Client Responsibilities
- Provide accurate, current, and complete information
- Respond promptly to queries or requests for approvals
- Respect intellectual property and confidentiality agreements
- Make payments as per agreed schedule
4. Payments and Fees
- Payment terms defined in project contracts or proposals
- All fees exclusive of taxes unless stated otherwise
- Late payments may incur interest or service suspension
- Codelogix may halt work until payment obligations are met
5. Project Timeline and Delivery
Timelines are estimates and may vary depending on client approvals or unforeseen challenges. Codelogix is not liable for delays caused by client non-responsiveness or third-party dependencies.
6. Intellectual Property
Codelogix retains ownership of all pre-existing IP. Upon full payment, clients receive rights to use deliverables for their intended purpose. Unauthorized copying or resale is prohibited.
7. Confidentiality
Both parties agree to keep confidential information secure, not disclose to third parties, and use it only for engagement purposes.
8. Warranties and Disclaimer
Services are provided “as is”. While we ensure best practices, Codelogix does not guarantee error-free or uninterrupted services. We are not liable for indirect or consequential damages.
9. Limitation of Liability
Codelogix’s total liability arising from any claim is limited to the fees paid for the specific project.
10. Termination
Either party may terminate with written notice. Codelogix may suspend services if payments are overdue. Clients must pay for all completed work to date.
11. Governing Law
These Terms are governed by the laws of India. Disputes are subject to the courts in Gurugram, Haryana, India.
12. Changes to Terms
Codelogix may update these Terms at any time. Continued use constitutes acceptance of the updated Terms.
